Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Subscriber", or "you") and Copago Market Private Limited ("Copago", "we", "us") governing your use of the CoTrade platform at cotrade.copagomarket.com and copagomarket.com (collectively, the "Platform").

By registering, subscribing, or using any part of the Platform, you confirm that you are at least 18 years old, have the authority to bind yourself or the entity you represent, and agree to these Terms and our Privacy Policy.

CoTrade provides:

• A directory of global food importers and buyers derived from publicly available trade data
• Company profile viewing with trade intelligence (shipment history, HS codes, trade values)
• WhatsApp and email campaign tools for outreach to shortlisted buyers
• A leads CRM for managing buyer follow-ups and conversion tracking
• Wallet-based credits for pay-as-you-go and subscription services

We reserve the right to add, modify, or discontinue any feature at any time with reasonable notice.

• You must provide accurate, complete information during registration
• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately at accounts@copagomarket.com if you suspect unauthorized access
• Each account is for a single business entity. You may add team members with different roles (admin, sales, subscriber)
• We reserve the right to suspend accounts that show signs of abuse, fraud, or policy violation

4.1 Free Tier:

New accounts receive ₹100 in free wallet credits. Free users get 30 minutes of directory browsing per day and pay ₹10 per profile view from their wallet balance.

4.2 Paid Plans:

4.3 GST: All prices are exclusive of GST unless stated otherwise. 18% GST applies to all payments. A GST-compliant invoice is generated after each payment.

4.4 Wallet credits are non-transferable and expire only upon account closure. Subscription plan credits (e.g. 2,500 views from Copago Membership) expire 365 days from activation.

5.1 Payments: All payments are processed securely through PayU, a RBI-approved payment gateway. We accept debit cards, credit cards, UPI, and net banking. By making a payment, you authorize the transaction.

5.2 No Refund Policy:

Technical fault exception: If a payment is debited but the plan or wallet is not activated due to a confirmed technical error on our end, contact us within 7 days at accounts@copagomarket.com with your transaction ID. We will rectify by activating the plan or crediting the wallet. This is not a monetary refund.

By completing a payment, you confirm you have read and accepted this no-refund policy.

You agree not to:

• Use the platform to send unsolicited bulk messages (spam) — campaign sends must be to buyers who have a legitimate business relationship or interest
• Scrape, crawl, or systematically extract data from the CoTrade directory beyond your plan's view credits
• Share your account credentials with others outside your registered business
• Use the platform for any purpose that violates Indian law, including the IT Act 2000 and DPDPA 2023
• Attempt to reverse-engineer, hack, or disrupt the platform's infrastructure
• Misrepresent your identity or business in campaigns or profile data
• Use harvested contact data for purposes other than legitimate B2B outreach related to food trade

Violation of this policy may result in immediate account suspension without refund.

When using CoTrade's campaign tools, you agree to:

• Comply with Meta's WhatsApp Business Policy and ensure your WhatsApp Business Account is properly verified
• Send campaigns only to recipients with a legitimate business relationship or opt-in consent
• Include your company identity clearly in all communications
• Honor opt-out requests promptly — if a recipient requests to stop receiving messages, add them to your exclusion list
• Not send messages containing misleading, fraudulent, or illegal content

Copago is not responsible for message delivery rates, WhatsApp's content moderation decisions, or Gmail sending limits. We are a technology facilitator — the campaign content and recipient selection are entirely your responsibility.

8.1 Our IP: The CoTrade platform, its codebase, design, trade database, and all associated content are the exclusive intellectual property of Copago Market Private Limited. You may not copy, reproduce, or distribute any part of the platform without written permission.

8.2 Your content: You retain ownership of campaign content, leads data, and notes you create on the platform. By using the platform, you grant us a limited license to store and process this content solely to provide the service.

8.3 Trade data: The buyer/supplier database is curated from public customs filings and trade records. This data is licensed to you for use within the platform only — you may not export, republish, or resell it.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, COPAGO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• That the trade data is complete, accurate, or up-to-date
• That campaigns will result in buyer responses or conversions
• That the platform will be available without interruption or error
• That the platform is fit for any particular business purpose

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COPAGO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS OPPORTUNITIES, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days. For disputes involving amounts under ₹5,00,000, the parties agree to use online arbitration under the Arbitration and Conciliation Act, 1996.

• By you: You may close your account at any time by contacting accounts@copagomarket.com. Unused wallet balance and credits are non-refundable (see Section 5 — No Refund Policy).
• By us: We may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity. We will provide 7 days' notice except in cases of serious violation.
• Effect of termination: Upon termination, your access to the platform and all data will be revoked. We will retain your billing records as required by law.

We may update these Terms from time to time. We will notify you of material changes by email and via an in-app notification at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance.
